These terms set out the basis upon which Tartar Shield Pet Product, Inc. also known as Direct2Vet or D2V, sells goods through its Website (these "Terms").
In these Terms, the terms "we," "us," "our," and "Tartar Shield Pet Product" refer to Tartar Shield Pet Product, Inc., its affiliates, subsidiaries, assigns, successors, licensors, licensees, and/or agents, and "you" refers to you.
If anything is unclear to you or you wish to discuss these Terms or anything you buy through our Website, please see "How to Contact Us" below. We will normally contact you using the email address you provide in your order (your "Email Address"), but we may need to call or send an SMS to the telephone number you have provided about your order, including where there are problems with payment or delivery. By placing an order and providing us with your phone number and/or email, you are consenting to communications from us about your order using those methods, except where prohibited by applicable law.
1. Our Sales Contract
1.1 Terms Acceptance: These Terms govern sales of goods by Tartar Shield Pet Products through our Website. By placing an order to buy goods from us through our Website, you accept and agree to comply with these Terms without reservation. Please read them carefully.
1.2 Ordering Eligibility: In order to buy goods through our Website, you must be at least 18 years of age and have accepted all of our terms and other applicable terms on this site. We only sell through this Website to consumers in the United States of America. The term "consumers" includes veterinary health care personnel and shelter staff working in place of their business in those instances where the Website displaying these Terms is expressly designed for those groups.
1.4 Order Submission: When you place an order through our Website, we will confirm receipt of your order by sending an acknowledgment to your Email Address. Please note that this is only an acknowledgment that we received your order and not an acceptance of your order. We reserve the right at any time after receipt of your order to accept or decline your order.
1.5 Order Acceptance: Our acceptance of the order takes place when the goods are shipped to you. Some products may require an authorization as a condition of purchase. Our acceptance of any order requiring an authorization is contingent upon our receipt of such authorization. We will send a confirmation to your Email Address or phone call confirming that the goods have been shipped ("Order Confirmation"). At this point, a contract, containing these Terms, comes into existence and is binding on you and us (the "Contract").
1.6 Decline of Order: If we do not accept your order for any reason, we will send a message to your Email Address or provide a phone call in place of an email. Your order will be canceled, any payment refunded, and there will be no Contract.
2. Order Details and Changes
2.1 The descriptions, prices, availability, and other details of our goods will be as set out on our Website at the time you place your order, subject always to the following provisions set out below.
2.2 Advertised Pricing: All prices displayed on our Website are in United States Dollars, exclusive of any applicable sales tax. Please note that prices may be dynamic and are based upon individual business agreements for each business account and the users associated with those accounts. In addition to the product prices, shipping, handling, and processing charges, as indicated on our Website, are payable. The complete total price, inclusive of any applicable taxes and charges, will be clearly presented to you during the checkout process prior to submitting your order.
2.3 Accurate Content: While we strive to provide accurate product information, descriptions, and pricing, errors may occur. In the event of an error, we reserve the right to correct it and revise your order accordingly or cancel the order and refund any amount charged. We will make reasonable efforts to notify you of any error and give you the option to proceed with the corrected order or cancel it.
2.4 Order Revisions: Once you have placed an order, you may not be able to make changes to it. If you need to make any changes, such as updating your shipping address or adding items to your order, please contact us as soon as possible. We will make reasonable efforts to accommodate your request, but we cannot guarantee that changes can be made once an order has been placed.
3.1 Payment Due on Receipt: Unless otherwise stated, all payments for goods and services ordered through our Direct2Vet ordering portal are due upon placement of the order via payment options available at the time of order placement. However, certain select businesses have been granted payment terms as per mutually agreed-upon arrangements. Further information regarding these specific cases can be found in Section 3.2.
3.2 Requesting Net Payment Terms: Businesses have the opportunity to apply for net payment terms when conducting business with us. To request net payment terms, please contact the Tartar Shield sales department, and an evaluation process will be conducted accordingly. It is important to note that Tartar Shield reserves the right to approve, deny, or modify payment terms at any point during the business relationship. Additionally, all orders are subject to individual payment terms at the discretion of Tartar Shield.
3.3 Authorization and Accuracy: By providing your payment information, you hereby authorize us to process payments using the designated payment method. Furthermore, you represent and warrant that you are authorized to use the payment method and that the payment information you provide is accurate, complete, and up-to-date.
3.4 Security of Payment Information: We prioritize the security of your payment information and employ secure payment processing platforms to ensure its safety and confidentiality. However, please be aware that the transmission of information over the internet and its storage within our systems carries inherent risks. We cannot guarantee the absolute security of your payment information, and you provide such information at your own discretion and risk.
4. Shipping and Delivery
4.1 Shipping Estimates: We will make reasonable efforts to ship the goods to you within the estimated delivery time stated on our Website or provided to you during the checkout process. However, any delivery dates or times provided are estimates only and are not guaranteed.
4.2 Shipping Risk of Loss: The risk of loss or damage to the goods passes to you upon delivery. We are not responsible for any delays, losses, or damages caused by third-party shipping carriers or other factors beyond our control.
4.3 Free Shipping and International Sales: We offer free shipping to all 50 states of the United States, excluding territories of the USA, for qualified orders. Please note that currently, we do not provide international shipping through our website. For international orders, we kindly request that you contact our approved distributors to obtain accurate pricing and delivery information for your specific country or location. If applicable, our sales team will be happy to assist you in directing you to the appropriate contact for sales in your area.
4.4 Shipping Price Updates: We reserves the right to change and update shipping prices at any time without notice, including before, during, or after the ordering process, at our full discretion. In the event that the shipping price is adjusted after an order is placed but before it is approved, we will promptly make the necessary updates and notify you either via email confirmation or through a phone call confirmation.
5. Returns and Refunds
5.1 Return Approval: All returns are subject to approval. We carefully review each return request on a case-by-case basis to ensure a fair assessment of the situation. Returns and refunds are not guaranteed and are subject to the full discretion of Tartar Shield Pet Products, Inc., per any laws where both our businesses reside.
5.2 Potential Eligibility Criteria: To be considered for a return, the product must meet the following criteria, but not limited to:
- Unopened and unused.
- In its original packaging.
- Products damaged during shipping or with manufacturing defects may be eligible for return, subject to inspection and assessment.
Please note that additional information or proof of purchase may be required to process a return. These criteria only provide examples of return reasons and are not guaranteed for returns or refunds.
5.3 Return Shipping: In the event of an approved return, the purchasing company is fully responsible for the total shipping and handling cost to deliver the return to either one of our facilities or a third-party partner facility based on eligibility at the time of return approval. We will provide instructions for returning the product. In such unique cases, return shipping may not be required.
5.3 Refund Process: Once we receive the returned item and verify its condition, we will proceed with the refund according to our refund policy.
Please allow up to 30 days for processing time after the return is received for the refund to be issued. Please allow up to an additional 30 days for a full refund, if applicable, to be processed. We retain the full right to deny a return and payment if the product is damaged or the refund criteria responses are misleading.
5.4 Returns from end-user Customers: We do not accept returns directly from customers of your clinic or business. As the purchaser, you are responsible for accepting or rejecting returns from your own customers based on your own business terms and policies. Such transactions are not subject to the return and refund policies outlined by Tartar Shield.
5.5 Approved end-user Returns and Refund: When your business accepts a refund of a Tartar Shield product from your customers, you may apply for a refund for your clinic directly from Tartar Shield. Refunds are subject to the full terms of conditions of this terms of sale contract. Tartar Shield will only consider refund applications from clinics that purchase directly from us only. To process a return or refund a purchase from a distributor; please get in touch with your purchasing distributor for details about their return policies.
5.7 Policy Updates: Please keep in mind that these return and refund policies are subject to change at the discretion of Tartar Shield without notice.
6. Product Availability and Information
6.1 Product Availability: We make reasonable efforts to ensure that the goods displayed on our Website are available for purchase and that the information provided is accurate and up to date. However, we do not guarantee the availability of any specific product or the accuracy of the information provided.
6.2 Product Content: We reserve the right to modify, discontinue, or update any product, pricing, or information on our Website at any time without prior notice. We shall not be liable for any modification, discontinuance, or update of any product, pricing, or information on our Website.
7. Limitation of Liability
7.1 To the maximum extent permitted by law, Tartar Shield Pet Product, Inc and its affiliates, subsidiaries, parent companies, officers, directors, employees, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your purchase or use of the goods or your reliance on any information provided on our Website.
7.2 In no event shall our total liability for any claims, damages, or losses exceed the amount paid by you for the goods purchased through our Website.
8. Governing Law and Dispute Resolution
8.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of the United States. Any dispute arising out of or relating to these Terms and Conditions, the goods, or your use of our Website shall be subject to the exclusive jurisdiction of the courts located in the United States.
8.2 You agree to attempt to resolve any disputes arising under these Terms and Conditions through good faith negotiations. If the dispute cannot be resolved amicably, either party may initiate legal proceedings in accordance with clause.
9.1 These Terms and Conditions constitute the entire agreement between you and Tartar Shield Pet Product regarding your purchase and use of the goods and supersede any prior agreements or understandings, whether written or oral.
9.2 If any provision of these Terms and Conditions is found to be invalid or unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.
9.3 Our failure to enforce any right or provision of these Terms and Conditions shall not be deemed a waiver of such right or provision.
9.4 These Terms and Conditions are binding on you and your successors and assigns and shall not be assignable or transferable by you without our prior written consent.
